This version replaces the General Terms and Conditions of May 2026. This English text is a courtesy translation; where it differs from the Dutch text, the Dutch text prevails.
All assignments of Hollands Duurzaam are governed by The New Regulations 2025 (DNR 2025) of the Royal Institute of Dutch Architects (BNA) and Royal NLingenieurs: the standard terms for architects, engineers and consultants. The articles below supplement the DNR 2025 for the services of Hollands Duurzaam, surveying buildings and preparing and registering energy labels, and set out the agreements on the survey appointment, the price and payment. The full text of the DNR 2025 is attached to this document as Appendix 2.
1.1 All offers, assignments and agreements of Hollands Duurzaam are governed by The New Regulations 2025, Legal relationship between client and architect/engineer, published by BNA and Royal NLingenieurs, filed with the registry of the District Court of Amsterdam on 20 March 2026 under number 10/2026 (hereinafter: DNR 2025). Hollands Duurzaam is "the consultant" (also called "the adviser") referred to therein.
1.2 The DNR 2025 is sent with the offer or the order confirmation, is attached to these terms as Appendix 2 and is available at www.hollandsduurzaam.nl/en/leveringsvoorwaarden. On request Hollands Duurzaam sends the text free of charge.
1.3 Articles 2 to 14 of these terms supplement the DNR 2025. Only where an article expressly states that it deviates from the DNR 2025 does that article prevail over the DNR 2025. In all other respects the DNR 2025 applies in full.
1.4 Where the DNR 2025 refers to the fee or consultancy fees, this means the price of the assignment excluding VAT. Additional costs, such as travel expenses, are included in the price.
1.5 Provisions of the DNR 2025 that relate exclusively to design, construction or supervision assignments, such as phasing (Articles 3.3 and 18.3), structural safety (Article 10), quality assurance (Article 11), a fee based on construction costs or time spent and its indexation (Article 12) and modifications to the realised object (Article 21), do not apply insofar as they have no meaning for the services of Hollands Duurzaam.
1.6 Other deviations from the DNR 2025 or from these terms are valid only if the parties have expressly agreed them in writing.
In addition to the definitions in Article 1 DNR 2025, in these terms the following definitions apply:
Energy label: The energy performance certificate for a building that is prepared in accordance with the applicable laws and regulations by a qualified energy performance adviser and registered with the Netherlands Enterprise Agency (RVO) in the national database EP-online.
Survey: The visit to the building during which Hollands Duurzaam collects the data needed for the calculation, in accordance with the applicable survey protocol and the determination method NTA 8800.
Advice: The result of the work of Hollands Duurzaam: the registered energy label, the accompanying report and any additional advice ("advice" within the meaning of Article 1 DNR 2025).
Price: The agreed amount for the assignment, including VAT unless stated otherwise.
Supporting documents: Documents that demonstrate structural or installation characteristics of the building, such as invoices, quotations, photos taken during the works, construction drawings, permits and quality declarations.
Project file: All survey data, photos, supporting documents and calculations that Hollands Duurzaam keeps per assignment.
Certifying body: The body that certifies and audits Hollands Duurzaam under the assessment guideline BRL 9500.
In writing: On paper or by electronic means, including e-mail and messages via a messaging service such as WhatsApp.
3.1 Offers of Hollands Duurzaam are without obligation and valid for thirty days, unless stated otherwise.
3.2 The assignment is formed as soon as the client accepts the offer in writing or via the website, or as soon as the parties jointly schedule an appointment for the survey. The order confirmation of Hollands Duurzaam serves as the written record of the agreement within the meaning of Article 1 DNR 2025.
3.3 The client declares that they are the owner of the building, or authorised to give the assignment on behalf of the owner.
3.4 If the client is a consumer and the agreement was concluded at a distance, for example via the website, e-mail or telephone, the consumer has the statutory right to withdraw from the agreement within fourteen days after its conclusion without giving reasons. The form in Appendix 1 may be used for this.
3.5 If the consumer asks Hollands Duurzaam to start performance within those fourteen days, for example by scheduling the survey within that period, the consumer expressly agrees that Hollands Duurzaam starts. If the consumer nevertheless withdraws afterwards, they pay a proportionate part of the price for the work already performed. As soon as the assignment has been performed in full, that is as soon as the energy label has been registered, the right of withdrawal lapses.
4.1 The parties agree a date and time for the survey. Because of travel time, the adviser of Hollands Duurzaam may arrive thirty minutes earlier or later than the agreed time.
4.2 The client may cancel or reschedule the appointment free of charge up to 24 hours before the agreed time.
4.3 If the client cancels or reschedules the appointment within 24 hours before the agreed time, or is not present at the agreed time and has not arranged a replacement, Hollands Duurzaam charges € 100 including VAT. If the client then schedules a new survey, this amount remains due in addition to the price of the assignment.
4.4 This amount compensates the reserved time of the adviser, including survey and travel time, and the preparation costs incurred. Hollands Duurzaam invoices it separately; Article 8 applies.
5.1 The survey is carried out by a qualified energy performance adviser who has passed the statutory examination, in accordance with the applicable survey protocol and the determination method NTA 8800. Hollands Duurzaam works under certification pursuant to BRL 9500 and is supervised by a certifying body.
5.2 The client, or a person designated by the client, is present at the survey. The client ensures that all rooms of the building are accessible, including the attic, crawl space, meter cupboard and the room containing the heating and ventilation installation.
5.3 Hollands Duurzaam generally delivers the energy label within fourteen working days after the survey, provided that all required supporting documents have been received. This period is not a strict deadline (Article 3.2 DNR 2025).
5.4 If Hollands Duurzaam has work carried out by others (Article 5.2 DNR 2025), it informs the client in advance. This does not lead to higher costs for the client, unless agreed otherwise in advance, and invoicing runs through Hollands Duurzaam.
5.5 Hollands Duurzaam may use AI tools in preparing, processing and checking the assignment (Article 15.2 DNR 2025). Their output is always assessed by the adviser. The use of AI does not limit the duty of care and the responsibility of Hollands Duurzaam under the DNR 2025.
6.1 The client provides in good time, preferably before the survey, all correct and complete information and supporting documents that Hollands Duurzaam needs for the assignment, in the form requested by Hollands Duurzaam. The client is responsible for the correctness, completeness and reliability of that information, also if it originates from third parties.
6.2 The starting point for the insulation values of walls, roofs, floors, windows and doors is the year of construction of the building, as prescribed by the survey protocol, unless supporting documents demonstrate a better insulation value. Especially in the case of renovations and retrofitted insulation, invoices, quotations, photos taken during the works, quality declarations and the environmental permit are important.
6.3 Without adequate supporting documents Hollands Duurzaam may not assume a better value, even if it is clear to the client that the better value is present. This follows from the regulations by which Hollands Duurzaam is bound and which the certifying body supervises.
6.4 Hollands Duurzaam assesses whether a supporting document meets the requirements of the survey protocol. The absence of supporting documents can have a considerable negative effect on the energy label. The client therefore provides relevant supporting documents in good time.
6.5 Provisional results that Hollands Duurzaam shares before registration are indicative and do not constitute an energy label.
6.6 The class of the energy label follows from the statutory determination method and from the data and supporting documents available at the survey. The consequences of incorrect or incomplete information from the client are for the client's account (Article 4.2 DNR 2025). This does not affect the liability of Hollands Duurzaam for its own attributable failure (Article 14 DNR 2025).
6.7 If performance of the assignment is delayed because the client does not fulfil the obligations in this article, the resulting extra time and reasonable extra costs are for the client's account (Article 17.6 DNR 2025). Hollands Duurzaam gives notice of this in advance.
7.1 The price is a fixed amount per assignment, including 21% VAT unless stated otherwise. The fixed amount applies to the scope of work described in the offer.
7.2 Changes or additional work required through the actions or at the request of the client, due to changed laws and regulations, or due to circumstances that are at the client's risk entitle Hollands Duurzaam to reasonable compensation of the extra costs and to extension of the delivery period (Article 17.4 DNR 2025). Hollands Duurzaam points this out to the client in advance.
8.1 In deviation from Article 13.1 DNR 2025 no payment schedule in instalments is agreed: Hollands Duurzaam invoices the full price in one go after the survey, unless agreed otherwise. The amounts under Articles 4 and 10 are invoiced separately.
8.2 In deviation from Article 13.4 DNR 2025 the client pays within three days after the invoice date into the bank account designated by Hollands Duurzaam, unless agreed otherwise. Invoices are itemised and traceable to the assignment (Article 13.3 DNR 2025).
8.3 A client who is not a consumer pays without deduction, discount or set-off. Any dispute of the invoice is made in writing, stating reasons, within the payment term; the undisputed part is paid on time (Article 13.6 DNR 2025).
8.4 In the event of late payment the client is in default and owes statutory interest (Article 13.5 DNR 2025). A consumer first receives a free payment reminder with a term of fourteen days; if payment is still not made, the extrajudicial collection costs according to the statutory scale (minimum € 40) are due (Article 13.7 DNR 2025 and Article 6:96 of the Dutch Civil Code). For a client who is not a consumer, Article 13.7 DNR 2025 applies in full.
8.5 As long as the invoice has not been paid in full, Hollands Duurzaam may suspend the registration of the energy label. If the energy label has already been registered, Hollands Duurzaam may undo the registration until payment has been made. The right of use of the advice (Article 12) arises only after payment in full.
8.6 The assignment is completed as soon as the energy label has been registered, the advice has been sent to the client and the invoice has been paid.
9.1 If the client terminates the assignment without grounds (Article 18.1 DNR 2025) before the survey has taken place, the client owes 50% of the price as compensation for the preparation costs already incurred and the reserved time, unless Hollands Duurzaam has not yet started the assignment and has not incurred any preparation costs. If the client terminates after the survey has taken place, the client owes the full price.
9.2 This compensation replaces the compensation under Article 19.1 and the termination fee under Article 19.4 DNR 2025; the notice period of Article 18.6 DNR 2025 does not apply and the termination takes effect immediately. For a consumer the compensation is reduced to a reasonable fee if it would otherwise be unreasonable (Article 19.2 DNR 2025 and Article 7:411 of the Dutch Civil Code).
9.3 If only the survey appointment is cancelled or rescheduled, Article 4 applies.
10.1 If the client provides additional supporting documents after registration of the energy label and wishes to have the energy label amended on that basis, Hollands Duurzaam charges for the recalculation and the new registration: € 25 including VAT if the request is made up to and including five days after issue of the energy label, and € 100 including VAT if the request is made from six days up to and including three months after issue. After three months an amendment counts as a new assignment, for which Hollands Duurzaam quotes a price in advance.
10.2 If an amendment is necessary due to an attributable failure of Hollands Duurzaam, for example because an element was overlooked, Hollands Duurzaam carries out the amendment free of charge (Article 17.5 DNR 2025).
11.1 Hollands Duurzaam registers the energy label with RVO in EP-online. The data of the energy label are thereby publicly accessible at www.ep-online.nl.
11.2 The client is aware and agrees that the survey data (the monitoring file) are provided to RVO and the national government for registration and monitoring.
11.3 The survey data, photos of and inside the building, drawings, measurement data and supporting documents are included in the project file. Hollands Duurzaam keeps the project file for ten years, the period of validity of the energy label.
11.4 The client has the right to request the complete project file. In addition to Article 20.1 DNR 2025, Hollands Duurzaam provides the file digitally and free of charge.
11.5 The certifying body and RVO may audit the file and the building on a random basis. The client cooperates and gives access to the building. If access is refused, this may lead to removal of the energy label from EP-online. Hollands Duurzaam has no influence on this.
12.1 After completion of the assignment and payment in full, the client obtains a non-exclusive and irrevocable right to use the advice for the purpose for which the assignment was given, such as the sale, letting, financing or energy renovation of the building or a subsidy application. In deviation from Articles 8.2 and 8.3 DNR 2025, the client may for that purpose share the advice with, for example, an estate agent, buyer, tenant, civil-law notary, bank or subsidy provider without prior consultation and without additional compensation.
12.2 Other use, adaptation or commercial exploitation of the advice is permitted only with the prior written consent of Hollands Duurzaam.
12.3 Hollands Duurzaam may refer to the assignment as a reference (Article 8.4 DNR 2025), but without mentioning the address or personal data of the client, unless the client gives consent.
12.4 Hollands Duurzaam processes personal data as an independent controller in accordance with the General Data Protection Regulation (GDPR) and the privacy statement at www.hollandsduurzaam.nl (Article 7 DNR 2025). It takes appropriate technical and organisational measures to protect personal data against loss, unlawful processing and unauthorised access.
12.5 Photos of and inside the building form part of the project file and are used exclusively for the assignment, the registration and the audit by the certifying body and RVO. They are not made public.
12.6 In the event of a data breach Hollands Duurzaam informs the client within a reasonable period after the breach became known and acts in accordance with the statutory notification duty (Article 7.4 DNR 2025).
13.1 Dutch law applies to the agreement (Article 22.1 DNR 2025).
13.2 The client submits a complaint about the performance of the assignment to Hollands Duurzaam in writing, stating reasons, within a reasonable time after discovery (Articles 4.3 and 14.2 DNR 2025). Hollands Duurzaam responds within fourteen days. The parties first try to resolve a dispute by mutual consultation, if necessary with mediation (Article 22.2 DNR 2025).
13.3 The parties do not agree on arbitration as referred to in Articles 22.3 and 22.4 DNR 2025. A dispute that is not resolved by mutual consultation is submitted to the ordinary court. If the client is a consumer, the court designated by law has jurisdiction. If the client is not a consumer, the District Court of Midden-Nederland has jurisdiction.
14.1 Hollands Duurzaam may amend these terms. Amended terms apply to a current assignment only thirty days after the client has been informed of the amendment in writing, and not if the client objects in writing within that period. In that case the original terms continue to apply until the assignment has been completed.
14.2 If a provision of these terms is void or annulled, the other provisions and the DNR 2025 remain in force. The parties then replace the provision concerned with a valid provision that approximates its intent as closely as possible.
14.3 After termination of the assignment the provisions on payment, right of use, personal data, liability (Article 14 DNR 2025) and disputes remain in force.
